Welcome to VLauncher. These Terms of Service (“Terms”) govern your access to and use of the VLauncher ecosystem (including the Customer Portal, Website, and Cloud Services) provided by CODIMITE PTE LTD. (“Codimite,” “we,” “us,” or “our”). By registering for an account, subscribing to our services, or interacting with our Customer Portal, you agree to be bound by these Terms.

These Terms operate in conjunction with the VLauncher End User License Agreement (EULA)—which strictly governs your local infrastructure deployments—and our Privacy Policy. Together, these documents form the unified agreement governing your use of the complete VLauncher solution.

You must be at least 18 years of age (or the age of majority in your jurisdiction) and possess the legal authority to bind your organization to these Terms. By using the Services, you represent and warrant that you have the right, authority, and capacity to enter into and abide by these Terms on behalf of your enterprise.

We reserve the right to modify these Terms at any time. When we do, we will revise the “Effective Date” at the top of this document. If changes materially affect your rights or financial obligations, we will provide conspicuous notice via the Customer Portal or email. Your continued use of the Services following such modifications constitutes your acceptance of the revised Terms.

VLauncher is an enterprise solution designed to automate the secure, seamless launching of virtualized applications and desktops on managed ChromeOS devices via Citrix or Omnissa SDKs. While the core VLauncher Product is strictly an on-premise solution deployed entirely within your local environment, the overarching “Services” governed by these Terms are comprised of several interconnected components:

By submitting a request, you agree to provide accurate and up-to-date information. Submitting a demo request does not guarantee access to the product or services, and we reserve the right to decline requests at our discretion.

The VLauncher ecosystem operates across five distinct subscription tiers, consisting of a Freemium plan and multiple Paid plans. Access to deployment packages and device capacities is strictly gatekept by your generated Client ID and active payment status.

By accessing or using the Services, you agree not to:

Ownership: All content, features, and functionality on the Services (including text, graphics, logos, icons, images, software, and compilations) are the exclusive property of Codimite PTE LTD. or its licensors and are protected by intellectual property laws.

License: Subject to your compliance with these Terms, we grant you a limited, non-transferable, non-exclusive, revocable license to access and use the Website for the purpose of requesting a demo. This license does not permit sublicensing, resale, or any commercial use of the Website or its content.

Restrictions: You may not copy, reproduce, distribute, republish, display, perform, create derivative works from, or transmit any part of the Services without our prior written consent, except as otherwise permitted by law.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to review our Privacy Policy to understand how we collect, use, and protect your information.

The Services may contain links to third-party websites or resources. We do not endorse and are not responsible or liable for any content, advertising, products, or materials on or available from such sites or resources.

Your dealings with third parties found on or through the Services are solely between you and the third party. You agree that we shall not be responsible or liable for any loss or damage arising from your interactions with such third parties.

You agree to indemnify, defend, and hold harmless Codimite PTE LTD. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.

Right to Terminate: We may suspend or terminate your access to the Services if we believe you have violated these Terms with or without prior notice.

Effect of Termination: Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination (such as Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) shall survive.

Governing Law: These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Dispute Resolution: You agree to submit to the personal jurisdiction of the courts located in Singapore for the purpose of litigating any claim or dispute arising out of or related to these Terms or the Services. Alternatively, you may specify if disputes must be resolved by arbitration in a specific location or under certain rules.

Severability: If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Codimite PTE LTD regarding the Services and supersede all prior and contemporaneous agreements, understandings, and communications.
