IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE INSTALLING, DOWNLOADING, OR USING THE VLAUNCHER LOCAL INFRASTRUCTURE SOFTWARE.

Acceptance of Terms

This End User License Agreement (“EULA”) strictly governs your installation and use of the Local Infrastructure components of VLauncher (the Configurator, Admin Studio, Runtime Services, and Extension). This EULA operates jointly with the VLauncher Terms of Service (ToS)—which governs subscriptions, cloud services, and billing—and our Privacy Policy. By deploying this Software, you agree to this unified framework.

License Grant & Scope

Subject to your compliance with this Agreement and validation of a valid Client ID, Licensor grants You a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business operations. This includes:

Deployment Types: Single-server or Multi-server (High Availability) architectures (e.g., 3, 5, or 7 nodes for cluster quorum).
Subscription Enforcement: Access to deployment packages and device limits are bound to your active subscription plan and verified via your Client ID.
Freemium Tier: Limited to 50 Devices. Standard support via documentation.
Paid Tiers: Device limits and feature access are strictly bound to your purchased subscription plan and verified via your Client ID.

Billing & Subscription Terms

Automatic Activation & Billing: Upgrading a subscription results in an immediate charge to your saved payment method and instant activation of features. No separate checkout is provided.

Downgrades: Plan downgrades take effect at the end of the current billing cycle. No prorated refunds are issued for mid-cycle downgrades.

Core Capabilities

To ensure baseline security, Licensor prohibits feature gating for core operations. Enterprise functions, such as automated Active Directory password rotation, are universally unlocked. Feature restrictions governed by Client IDs apply exclusively to bespoke customizations developed under separate Statements of Work, or volume-based device limits.

Data Collection, Configuration & Security

You acknowledge that the Software requires the following configurations for operation. You authorize the Software to access and store these credentials and are responsible for maintaining the principle of least privilege:

Credential Encryption: Active Directory inputs (DNs, LDAPS Service Accounts), VDI data (Citrix/Omnissa FQDNs), and Provision Tokens are encrypted and housed exclusively in your local ETCD and Patroni infrastructure.

Healthcare Compliance & Regulated Industries

5.1 HIPAA Compliance & Business Associate Agreement (BAA)

If You are a “Covered Entity” under the Health Insurance Portability and Accountability Act (HIPAA), Licensor may function as a “Business Associate.” The use of the Software in connection with Protected Health Information (PHI) is prohibited unless a separate Business Associate Agreement (BAA) has been executed between the parties.

5.2 Audit Logging & Incident Response

The Software generates audit logs (e.g., configurator changes, automated password rotations) to support internal compliance audits. In the event of a security breach involving Licensor’s systems that could compromise the Software’s integrity or your credentials, Licensor will notify You in accordance with applicable breach notification laws.

Local Log Rotation: All log rotation mechanisms execute entirely within your local environment to prevent data extrusion.
No Cloud Transmission: Audit events are strictly prohibited from transmitting to Licensor infrastructure.
Data Purge: A complete cluster uninstallation securely destroys all local ETCD configurations and audit data.

Maintenance & Updates

The Software lifecycle is managed locally via the Configurator:

Updates: The system automatically manages internal database schema migrations and IIS application pool recycling.
Reconfiguration: Settings updated via the Configurator automatically propagate across quorum nodes (Replica Nodes).
Uninstallation: Granular teardown sequences are provided for singular nodes or the full ETCD/Patroni cluster architecture.

Shared Responsibility

As a locally deployed appliance, You assume sole responsibility for maintaining network perimeter security, including Active Directory integrity, Load Balancer configurations, inter-node connectivity, and strictly applying the principle of least privilege to provisioned Service Accounts.

Use Restrictions

You shall not, and shall not permit any third party to:

Copy, modify, or create derivative works of the Software.
Reverse engineer, disassemble, or decompile the Software.
Rent, lease, lend, sell, or otherwise transfer the Software to any third party.
Bypass security mechanisms, including Client ID validation or Provision Token requirements.

Intellectual Property

Ownership: All content, features, and functionality on the Services (including text, graphics, logos, icons, images, software, and compilations) are the exclusive property of Codimite PTE LTD. or its licensors and are protected by intellectual property laws.

License: Subject to your compliance with these Terms, we grant you a limited, non-transferable, non-exclusive, revocable license to access and use the Website for the purpose of requesting a demo. This license does not permit sublicensing, resale, or any commercial use of the Website or its content.

Restrictions: You may not copy, reproduce, distribute, republish, display, perform, create derivative works from, or transmit any part of the Services without our prior written consent, except as otherwise permitted by law.

Third-Party Links and Services

The Services may contain links to third-party websites or resources. We do not endorse and are not responsible or liable for any content, advertising, products, or materials on or available from such sites or resources.

Your dealings with third parties found on or through the Services are solely between you and the third party. You agree that we shall not be responsible or liable for any loss or damage arising from your interactions with such third parties.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

High Availability Caveat: While the Software supports High Availability (HA) deployments, HA depends entirely on the proper configuration and performance of your underlying infrastructure (e.g., F5 load balancers, network connectivity between replica nodes).

Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION) RESULTING FROM DEPLOYMENT, UPDATE FAILURES, OR THIRD-PARTY VDI ARCHITECTURAL SHIFTS. TOTAL CUMULATIVE LIABILITY IS STRICTLY CAPPED AT THE AMOUNT PAID FOR THE SERVICE IN THE PRECEDING TWELVE (12) MONTHS, UNLESS EXPLICITLY MODIFIED BY A PURCHASED SLA ADD-ON AND GOVERNED BY THEN-CURRENT APPLICABLE RATES.

Termination

This EULA remains effective until terminated by breach of contract or by the execution of a successful “Entire Cluster” uninstallation. Upon termination, all deployment rights instantly cease. Survival clauses (Disclaimers, Liability, and Governing Law) remain perpetually in effect.

Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination (such as Intellectual Property, Disclaimers and Limitation of Liability) shall survive.

Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Dispute Resolution: You agree to submit to the personal jurisdiction of the courts located in Singapore for the purpose of litigating any claim or dispute arising out of or related to these Terms or the Services. Alternatively, you may specify if disputes must be resolved by arbitration in a specific location or under certain rules.
